Homebase Terms and Conditions

Effective Date: April 21, 2026

These Terms and Conditions ("Terms") govern your access to and use of the Homebase website, platform, and related services available at homebase.rest and any related subdomains, applications, or services (collectively, the "Services"), operated by Kuma Games Inc. ("Homebase," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview of the Services

Homebase provides tools that allow property hosts, managers, and related users ("Hosts") to create, manage, and share digital guest welcome, arrival, and property information experiences. The Services may include:

  • host account registration and login;
  • property setup and management tools;
  • guest-facing property pages and welcome experiences;
  • secure or semi-private access flows, including access codes or PIN-based access;
  • content hosting, sharing, preview, and publishing features;
  • optional third-party integrations, authentication providers, payment providers, analytics tools, and communications tools.

Some features may still be in development, beta, limited release, or subject to change.

2. Eligibility

You may use the Services only if you can form a binding contract with Homebase and are not prohibited from using the Services under applicable law.

If you use the Services on behalf of a company, property management business, or other organization, you represent and warrant that you are authorized to bind that entity to these Terms.

3. Accounts

To access certain features, you may need to create an account.

You agree to: - provide accurate, current, and complete information; - keep your account credentials secure; - maintain and promptly update your account information; - accept responsibility for all activity that occurs under your account.

You may not share access credentials in a way that compromises account security. You must notify us promptly at info@homebase.rest if you believe your account has been compromised.

We may suspend or terminate accounts that are insecure, fraudulent, abusive, or otherwise in violation of these Terms.

4. Host Content and Guest-Facing Information

You are responsible for all content, data, media, text, instructions, recommendations, property details, check-in information, access details, and other materials that you upload, publish, submit, transmit, or make available through the Services ("Host Content").

You represent and warrant that: - you own or have the necessary rights to Host Content; - Host Content does not violate any law, regulation, contract, or third-party right; - Host Content is accurate enough for its intended purpose; - Host Content does not contain malicious code, deceptive material, or unlawful content.

You acknowledge that guest-facing materials may influence guest decisions, movements, access, and property use. You remain solely responsible for the accuracy, legality, safety, and suitability of the information you provide.

Homebase is not responsible for errors in Host Content, including inaccurate property details, check-in instructions, Wi‑Fi credentials, house rules, local recommendations, access directions, or safety-related statements.

5. Privacy and Sensitive Information

You agree not to use the Services to store or share: - payment card numbers unless explicitly supported by an approved third-party payment provider; - government ID numbers, passport details, or other highly sensitive personal data unless clearly required and lawfully handled; - health data, biometric data, or other special-category or highly sensitive data unless expressly authorized by Homebase in writing; - information you are not legally permitted to collect, use, or disclose.

If you collect guest information using the Services, you are responsible for ensuring you have all legally required notices, permissions, and lawful bases.

6. Guest Access, PINs, and Property Sharing

Some Homebase features may allow access to property pages or guest content using links, property codes, PINs, or similar access methods.

You are responsible for: - sharing access details only with intended recipients; - rotating or updating access credentials when needed; - ensuring that guest-facing information is appropriate for the audience receiving it.

Homebase does not guarantee that a guest link, property code, or PIN-based access flow is appropriate for every security use case. The Services are not a substitute for physical security systems, identity verification, or emergency procedures.

7. Acceptable Use

You may not use the Services to: - violate any law or regulation; - infringe intellectual property, privacy, publicity, or other rights; - upload malicious code, viruses, or harmful scripts; - attempt to gain unauthorized access to systems, accounts, or data; - scrape, reverse engineer, or interfere with the Services except as permitted by law; - send spam, phishing messages, or deceptive communications; - misrepresent your identity or affiliation; - publish unlawful, defamatory, harassing, discriminatory, or abusive content; - use the Services in a way that could create safety risks for guests, hosts, or third parties.

We may investigate and take any action we deem appropriate in response to suspected misuse.

8. Third-Party Services

The Services may integrate with or rely on third-party providers, including but not limited to: - authentication providers (such as Google); - cloud hosting or infrastructure providers; - payment processors (such as Stripe, if enabled); - analytics, logging, communication, and support providers.

Your use of third-party services may be subject to those providers' own terms and privacy policies. Homebase is not responsible for third-party services and does not guarantee their availability, accuracy, or performance.

9. Fees, Billing, and Subscriptions

Some parts of the Services may be paid, subscription-based, usage-based, or offered under a free tier.

If paid plans are offered: - you agree to pay all applicable fees and taxes; - pricing, billing cadence, and included features will be described at the time of purchase; - subscriptions may renew automatically unless canceled before renewal, where permitted by law and disclosed at checkout; - payment processing may be handled by an authorized third-party processor; - we may suspend or limit paid features for non-payment.

Unless otherwise stated in a separate written agreement, fees are non-refundable except where required by law.

Homebase may change pricing, plans, or packaging prospectively. We will use reasonable efforts to provide notice for material adverse changes affecting recurring paid plans.

10. Trials, Promotional Offers, and Beta Features

We may offer free trials, pilot programs, promotional access, or beta features. Such offerings may be modified or terminated at any time.

Beta or preview features are provided "as is" and may be incomplete, unstable, or changed without notice.

11. Intellectual Property

Homebase and its licensors own all rights, title, and interest in and to the Services, including all software, visual interfaces, branding, trademarks, logos, documentation, and underlying technology, excluding Host Content.

Subject to your compliance with these Terms, Homebase grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as expressly permitted by us in writing or by applicable law.

12. License to Host Content

As between you and Homebase, you retain ownership of your Host Content.

You grant Homebase a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify as necessary for formatting or technical operation, display, transmit, and otherwise use Host Content solely as needed to: - operate, provide, maintain, and improve the Services; - display content to authorized users and intended guests; - perform backups, security monitoring, debugging, and abuse prevention; - comply with law and enforce these Terms.

This license ends when your Host Content is deleted from the Services, except to the extent it has been retained in backups, logs, or as otherwise required for legal, security, or operational reasons.

13. Feedback

If you provide ideas, suggestions, recommendations, or feedback regarding the Services, you grant Homebase a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without compensation to you.

14. Availability and Service Changes

We may update, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability or that the Services will always be error-free, secure, or suitable for every use case.

We may perform maintenance, upgrades, migrations, security changes, or infrastructure changes that temporarily affect availability.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEBASE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, HOMEBASE DOES NOT WARRANT THAT: - THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; - GUESTS WILL ACCESS OR USE GUEST-FACING PAGES AS INTENDED; - ANY CONTENT WILL BE ACCURATE, COMPLETE, OR SUFFICIENT FOR LEGAL, SAFETY, OR OPERATIONAL PURPOSES; - ANY PARTICULAR BUSINESS OUTCOME, BOOKING RESULT, GUEST SATISFACTION RESULT, OR REDUCTION IN SUPPORT LOAD WILL OCCUR.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEBASE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HOMEBASE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: 1. THE AMOUNT YOU PAID TO HOMEBASE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR 2. ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some portions of this section may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless Homebase and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: - your use of the Services; - your Host Content; - your violation of these Terms; - your violation of any law or third-party right; - disputes involving your guests, customers, property owners, managers, or service providers.

18. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if: - you violate these Terms; - we reasonably suspect fraud, abuse, or security risk; - required by law; - necessary to protect the Services, other users, or third parties.

Upon termination, your right to use the Services will cease immediately. Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any accrued payment obligations.

19. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of laws principles.

20. Dispute Resolution and Venue

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Vancouver, British Columbia, Canada, and you consent to the personal jurisdiction and venue of those courts, unless applicable law requires otherwise.

If you prefer arbitration instead of court venue, this section can be rewritten accordingly.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the Effective Date. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.
